Terms of Service

These Terms of Service explain the rules, responsibilities, and legal conditions that apply when you access our website, request a quote, communicate with us, or use services provided by SUPERCLICK LLC.

1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you, whether personally or on behalf of a business entity ("Client," "you," or "your"), and SUPERCLICK LLC ("Superclick," "Company," "we," "us," or "our").

By accessing our website, requesting a quote, submitting project information, communicating with our team, approving a proposal, making a payment, or using our services, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not use our website, submit information, request services, or engage SUPERCLICK LLC for any project or business service.

2. About SUPERCLICK LLC

SUPERCLICK LLC provides professional technology and digital business services, including website development, software development, mobile application development, game development, CRM support, technical support, automation, IT consulting, eCommerce solutions, and related digital solutions.

Any services provided by SUPERCLICK LLC may be subject to a separate proposal, invoice, statement of work, service agreement, project scope, or written arrangement. If there is a conflict between these Terms and a signed written agreement, the signed written agreement will control for that specific project.

3. Services and Scope of Work

SUPERCLICK LLC provides services based on the agreed project scope, proposal, quote, invoice, or written communication approved by the Client. The scope of work may include planning, design, development, testing, deployment, support, maintenance, consulting, troubleshooting, or related business technology services.

Project Scope

Work will be performed according to the approved scope, proposal, estimate, invoice, or written instructions accepted by both parties.

Revisions

Revisions are included only to the extent stated in the approved proposal or project agreement. Additional revisions may require extra charges.

Change Requests

Any request outside the original scope may be treated as additional work and may require a revised quote, timeline, or written approval.

Timelines

Project timelines are estimates unless expressly stated as guaranteed in writing. Delays may occur due to client feedback, third-party tools, approvals, or technical issues.

4. Client Responsibilities

The Client is responsible for providing accurate, complete, and timely information required for project completion. This may include business details, content, images, branding assets, login access, technical documentation, third-party account access, approvals, feedback, and payment information.

  • You must ensure that all materials provided to SUPERCLICK LLC are legally owned by you or that you have proper permission to use them.
  • You are responsible for reviewing and approving project deliverables, content, designs, features, and final outputs.
  • You must provide timely feedback, approvals, credentials, and requested information to avoid project delays.
  • You are responsible for maintaining your own backups unless backup services are specifically included in the project scope.
  • You must not use our services for unlawful, fraudulent, abusive, deceptive, harmful, or unauthorized purposes.

5. Payments, Billing, and Invoices

Fees, payment schedules, deposits, milestones, and billing terms will be stated in the applicable proposal, invoice, service agreement, or written communication. By approving a project or making payment, you agree to pay all applicable charges for the selected services.

  • Deposits: Some projects may require an upfront deposit before work begins.
  • Milestone Payments: Larger projects may be billed in stages based on agreed milestones.
  • Recurring Services: Monthly, retainer, hosting, support, or maintenance services may be billed on a recurring basis.
  • Late Payments: Late or unpaid invoices may result in project delays, suspension of services, restricted access, or additional collection costs.
  • Taxes and Fees: The Client is responsible for applicable taxes, transaction fees, bank charges, currency conversion fees, or payment processor fees where applicable.

SUPERCLICK LLC may suspend or pause work if required payments are overdue, disputed without valid reason, reversed, charged back, or otherwise unpaid.

6. Refunds, Cancellations, and Chargebacks

Because our services often involve custom work, planning, labor, development time, research, design, consulting, and project management, payments are generally non-refundable once work has started, unless otherwise agreed in writing.

  • Before Work Begins: If a project is canceled before any work begins, refund eligibility may be reviewed on a case-by-case basis.
  • After Work Begins: Payments for completed work, time spent, consultation, research, planning, development, design, support, or third-party costs are not refundable.
  • Recurring Services: Subscription, support, hosting, maintenance, or retainer services may be canceled according to the applicable service terms, but past billing periods are not refundable unless required by law.
  • Third-Party Costs: Fees paid to hosting providers, software vendors, advertising platforms, domain registrars, app stores, payment processors, SMS providers, or other third parties are not refundable by SUPERCLICK LLC.
  • Chargebacks: Clients agree to contact SUPERCLICK LLC first to resolve any billing concern before initiating a chargeback or payment dispute.

If a chargeback or payment dispute is filed for services already provided, SUPERCLICK LLC reserves the right to suspend services, restrict access, stop project work, recover outstanding amounts, and provide evidence of work performed to the payment processor or financial institution.

7. Intellectual Property Rights

Ownership of project materials depends on the type of work, payment status, and written agreement between the parties.

Client Materials

The Client retains ownership of materials, logos, trademarks, content, data, images, documents, and business information provided to SUPERCLICK LLC.

Custom Deliverables

Upon full payment of all outstanding invoices for a project, the Client will receive ownership rights to final custom deliverables specifically created for that project, except for pre-existing tools, reusable code, frameworks, templates, plugins, libraries, internal methods, or third-party components.

SUPERCLICK LLC Materials

SUPERCLICK LLC retains ownership of its pre-existing intellectual property, internal tools, processes, know-how, generic code, reusable components, methods, templates, and materials not created exclusively for the Client.

Portfolio Rights

Unless otherwise agreed in writing, SUPERCLICK LLC may reference completed work, project type, screenshots, client name, or general project description in its portfolio, marketing material, case studies, or website. Confidential information will not be disclosed without permission.

8. Confidentiality

SUPERCLICK LLC understands that clients may share confidential business information, technical access, project plans, customer data, internal documents, software credentials, or proprietary materials.

We agree to use reasonable care to protect confidential information and to use it only for the purpose of providing requested services. Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law.

9. Third-Party Services, Platforms, and Tools

Some projects may require third-party platforms, APIs, hosting providers, domain registrars, payment processors, app stores, advertising networks, SMS providers, CRM systems, plugins, software subscriptions, or external tools.

SUPERCLICK LLC is not responsible for outages, pricing changes, account suspensions, policy changes, approval delays, rejection decisions, security incidents, or service limitations caused by third-party providers.

The Client is responsible for reviewing and complying with the terms, policies, fees, and requirements of any third-party service used in connection with the project.

10. No Guarantee of Results

SUPERCLICK LLC will use reasonable professional efforts to provide quality services. However, we do not guarantee specific business outcomes, revenue, rankings, traffic, conversions, app approvals, advertising approvals, payment processor approvals, SMS campaign approvals, third-party platform approvals, or uninterrupted system performance unless expressly guaranteed in writing.

Results may depend on factors outside our control, including market conditions, third-party platforms, client decisions, user behavior, search engine algorithms, advertising policies, payment processor rules, app store guidelines, SMS/TCR requirements, and regulatory changes.

11. Acceptable Use

You agree not to use our website, services, deliverables, systems, or communications for any unlawful, harmful, abusive, deceptive, fraudulent, or unauthorized purpose.

  • You may not request or use our services to violate laws, regulations, intellectual property rights, privacy rights, or third-party rights.

16. Termination and Suspension

Either party may terminate a project or service arrangement according to the applicable proposal, invoice, agreement, or written communication. If no specific termination terms apply, either party may terminate ongoing services by providing written notice.

SUPERCLICK LLC may suspend or terminate services immediately if the Client fails to pay invoices, violates these Terms, engages in unlawful activity, misuses our services, refuses required cooperation, initiates improper chargebacks, or creates legal, security, or operational risk.

Upon termination, the Client remains responsible for payment for all work completed, time spent, third-party costs incurred, and services provided up to the termination date.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with applicable United States law, without regard to conflict of law principles.

Before filing any legal claim, both parties agree to make a reasonable good-faith effort to resolve disputes through direct communication. Any unresolved dispute may be handled through the appropriate court, arbitration, mediation, or legal process as required by applicable law or written agreement.
